management services through third-party platforms.
1.2. The Services are provided “as is” and “as available.” We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.
2. User Responsibilities
2.1. You agree to use the Services only for lawful purposes and in accordance with these Terms.
2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your access, whether on our website or within your connected third-party platforms.
2.3. You must ensure that any data you provide or integrate through our systems complies with all applicable laws, including those related to privacy, intellectual property, and customer data usage.
3. Intellectual Property
3.1. All content, processes, designs, and automation structures built or delivered by Baven Advance—including those configured within third-party platforms—are the intellectual property of the
Company or its licensors.
3.2. You may not reproduce, distribute, resell, or create derivative works from our materials or systems without prior written consent.
4. Fees and Payment
4.1. The fees for the Services will be outlined in your onboarding agreement or payment terms upon becoming a client.
4.2. All payments are non-refundable unless otherwise stated in your agreement.
4.3. The Company reserves the right to suspend or terminate access to Services if payments are not received on time.
5. Disclaimer of Warranties
5.1. Baven Advance disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.
5.2. We do not guarantee that the Services will meet your specific expectations, operate uninterrupted, or be error-free. Platform availability and performance are also subject to the terms of the third-party
tools you connect.
6. Limitation of Liability
6.1. Baven Advance shall not be liable for indirect, incidental, or consequential damages
resulting from your use of the Services.
6.2. In no event shall the Company’s total liability exceed the amount paid by you for Services within the twelve (12) months preceding the claim.
7. Indemnification
You agree to indemnify, defend, and hold harmless Baven Advance, its directors, contractors, and agents from any claims, liabilities, or expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your misuse of third-party platforms connected through your account.
8. Governing Law and Dispute Resolution
8.1. These Terms shall be governed by and interpreted in accordance with the laws of Queensland, Australia.
8.2. Any disputes arising under these Terms shall be subject to binding arbitration or mediation in Queensland, Australia, unless prohibited by law.
9. SMS Terms and Conditions
9.1. SMS Program Overview
The Baven Advance SMS Program provides service updates, follow-ups, and performance-related communications. By opting in, you agree to receive messages relating to your Services, AI updates, and lead engagement progress.
9.2. Opting Out of SMS Messages
You may cancel the SMS service at any time by replying “STOP” to any message. Upon confirmation, you will no longer receive SMS messages from us. To rejoin, you may opt in through your onboarding process.
